Provider agreement

Version 2026-10-28

This is a final draft waiting for medical and legal review. It is not in force yet.

The short version

  • You are an independent professional. You are not an Ionyx employee.
  • You must hold a valid licence and stay in good standing. Tell us within 2 working days of any change.
  • Your clinical decisions are yours. Ion's report is a tool, not a diagnosis. Send patients in person whenever you judge it necessary.
  • Ionyx does not provide or require malpractice cover. We strongly recommend it. You indemnify Ionyx for your clinical decisions, within the law.
  • You are the data controller for the clinical records you make. Ionyx stores them for you.
  • Every record you open is logged. Open only the records of patients you are caring for.
  • The provider standards are part of this agreement.
  • Bahamian law applies.

1. Parties and definitions

1.1 This agreement is between Ionyx AI of P.O. Box N-10899, Nassau, The Bahamas ("Ionyx", "we" or "us") and the health professional who signs it ("you" or "the provider").

1.2 In this agreement:

  • "Platform" means the Ionyx website, apps and services, including Ion, booking, video visits, messages, documents and the AI note helper.
  • "Ion" means the Ionyx health check, which uses artificial intelligence and fixed safety rules to suggest a care level and write reports.
  • "Patient" means a person who uses the platform to get care from you, including a child or adult booked by a parent, guardian or helper.
  • "Clinical records" means the records you create about a patient, including visit notes, private clinical notes, sick notes, referrals and other documents.
  • "Standards" means the provider standards, as updated under section 18.
  • "Working day" means a day that is not a Saturday, Sunday or public holiday in The Bahamas.

1.3 This agreement starts on the date you sign it. This is version 2026-10-28, effective 28 October 2026.

2. What Ionyx provides

2.1 Ionyx provides a platform that lets patients find you, book visits, share Ion reports with you, see you by video, send you messages and receive documents from you.

2.2 Ionyx does not provide medical care, does not employ you and does not supervise your clinical work.

2.3 Ionyx may change, add or remove features. Some features are released to a small group of testers first.

2.4 Ionyx does not guarantee that you will receive any number of bookings.

3. Independent contractor

3.1 You are an independent contractor. Nothing in this agreement makes you an employee, partner, agent or joint venturer of Ionyx.

3.2 You are responsible for your own taxes, business registration, national insurance contributions, VAT and any staff you engage.

3.3 You decide when you are available, which visit types you offer, your fees and whether you accept a booking, subject to the standards.

3.4 You must not say or suggest that you act for Ionyx or that Ionyx is responsible for your care.

4. Licence and good standing

4.1 Throughout this agreement you must:

  • hold a current, valid licence or registration to practise your profession in The Bahamas, issued by the Medical Council, the Nursing Council or the Health Professions Council of The Bahamas
  • be in good standing, with no suspension and no condition that limits the care you offer on the platform, unless you have told us about it in writing and we have agreed
  • give us true and complete information about your identity, licence, training and experience
  • upload proof of your licence and keep it up to date

4.2 You can sign in before we check your licence. Until we have verified your licence, patients cannot see or book you. Until then you also cannot open patient reports.

4.3 You must tell us in writing within 2 working days if your licence ends, lapses, is suspended or has a condition added. You must also tell us if you become the subject of a disciplinary finding that affects your practice. We will hide your profile while we review it.

4.4 Each year you must confirm your licence by ticking the licence confirmation.

4.5 We may check your licence with the issuing body at any time.

4.6 Your name, provider type and letters after your name can only be changed through Ionyx Support once you are verified.

5. Scope of practice

5.1 You must only give care that is within your licence, your training and your competence.

5.2 You must follow the laws and professional rules that apply to you, including any rules of the Medical Council, the Nursing Council or the Health Professions Council of The Bahamas on telemedicine, remote consultations, prescribing, advertising and patient ratings.

5.3 Video visits are only offered to patients who meet the platform's video rules: a self-care or routine check result, no red-flag symptoms, aged 2 or over, in The Bahamas during the visit and, for patients under 18, a parent or guardian on camera throughout. These rules do not replace your own judgement about whether video is suitable.

5.4 You decide whether a video visit is right for a first visit with a new patient. If it is not, ask them to book an in-person visit.

5.5 You must not prescribe or give advice to a patient you believe is outside The Bahamas during a video visit, unless the law allows it.

6. Clinical judgement

6.1 You alone are responsible for your clinical assessment, diagnosis, advice, treatment, prescribing, referrals and follow-up.

6.2 Ion's report, brief, care level and possible causes are tools to help you prepare. They are not a diagnosis. You must make your own assessment and must not rely on Ion alone.

6.3 If you judge that a patient needs to be examined in person, needs tests, needs urgent care or needs emergency care, you must tell the patient clearly and promptly, whatever Ion suggested. Use "Advise urgent care" and the emergency steps on the platform where they apply.

6.4 If you think Ion's care level was wrong, record it using "Was Ion right?" so that Ionyx can review it.

6.5 Nothing in the platform, the standards or any Ionyx communication limits your duty to act in your patient's best interest.

7. Malpractice cover and indemnity

7.1 Ionyx does not provide malpractice (professional indemnity) insurance for you and does not require you to hold it.

7.2 Ionyx strongly recommends that you hold professional indemnity insurance that covers the care you give through the platform, including video visits.

7.3 If you hold insurance, you may upload proof of it. We may show verified insurance on your public profile. We do not tell patients when a provider has not uploaded proof of cover.

7.4 You are responsible for your clinical decisions and their consequences. To the extent the law allows, you will indemnify Ionyx against claims, losses, costs and reasonable legal fees that arise from your clinical acts or omissions, your breach of this agreement or your breach of the law.

7.5 Section 7.4 does not apply to the extent a loss was caused by Ionyx's own negligence or breach.

7.6 Each year you must confirm that you understand this section by ticking the no malpractice cover from Ionyx statement.

8. Clinical records

8.1 You are the data controller for the clinical records you create. You decide how they are used for your patient's care.

8.2 Ionyx stores your clinical records on the platform on your behalf and acts as your data processor for them. Ionyx will only use them to run the platform, to keep patients safe, to meet legal duties and as the patient has agreed.

8.3 You must keep complete, accurate and timely records of every visit, as the standards require.

8.4 Visit records are permanent. Notes shared with a patient are kept as shared. Corrections are added as new versions. Earlier versions are kept.

8.5 Clinical records are kept for at least 6 years after the last visit, as the law requires. This applies even if you or the patient leave the platform.

8.6 Patients may ask to see their records. You must respond as the law requires. Ionyx will help by passing requests to you and giving you access to the records.

8.7 If this agreement ends, Ionyx will keep your clinical records for the legal period and will give you and your patients access to them as the law requires. If you leave, you can ask us within 30 days for a copy of your patients' records (as PDF files).

9. Confidentiality

9.1 You must keep all patient information confidential and use it only for that patient's care.

9.2 You must keep Ionyx's confidential information private, including how the platform works internally, other providers' information and anything marked confidential.

9.3 These duties continue after this agreement ends.

10. Data protection and the access log

10.1 You must follow the Data Protection (Privacy of Personal Information) Act, 2003 and any other data protection law that applies to you.

10.2 Health information is sensitive personal data. You must only open, use or share it when you need it to care for that patient.

10.3 Every record you open is logged. Each opening of a brief, record or report from your provider pages is recorded with who, what and when. Attempts to open a report without permission are also recorded. When you open a report from a patient's QR code or report code, the patient is told.

10.4 You may only open a patient's report if you have an accepted or completed visit with them. You may also open it if they have shown you their QR code or report code or if it is your own check.

10.5 You must not copy, download, print or export patient information except as needed for that patient's care.

10.6 You must keep your password secret, use a device with a screen lock and not share your account. Provider sessions end after 8 hours.

10.7 You must tell Ionyx within 24 hours if you know or suspect that patient information has been lost, seen by the wrong person or misused.

10.8 As your processor, Ionyx will: keep the clinical records secure; only process them as this agreement allows; make sure its own service providers sign agreements to protect them; require its AI service providers not to train on patient data; tell you without undue delay of a security breach that affects your records; and help you answer patients' requests.

10.9 Your information is stored outside The Bahamas, mainly in the United States. Our privacy notice explains this and how we protect it.

11. AI tools

11.1 You may use the AI note helper only when every person on the call or in the room has agreed. If anyone says no or asks you to stop, you must stop it.

11.2 You must read every line of an AI draft, correct it and complete it before you sign or share any notes. You are responsible for your notes whether or not you used the AI note helper.

11.3 You must not paste patient information into AI tools outside the platform.

12. Provider standards

12.1 The provider standards are part of this agreement. You must follow them.

12.2 The standards cover visit summaries and notes, response times, missed visits, rescheduling, messages, the AI note helper and the record access log.

12.3 If you do not follow the standards, Ionyx may take the steps they describe. These include showing you lower in search, pausing new bookings and ending this agreement.

13. Fees and payouts

13.1 You set your own visit fees. The fee you enter is the total the patient pays, including any VAT. Nothing is added at booking.

13.2 Today patients pay you directly. Ionyx does not collect payments for you. You are responsible for collecting your fees, giving receipts and handling refunds under your own policy.

13.3 Once payments go through Ionyx, the following will apply. We will ask you to agree again before it starts.

  • Once payments go through Ionyx, patients pay at booking through our payment provider. Until then, patients pay you directly.
  • Your payout for a visit is released when you sign the notes for that visit.
  • For a late cancellation or missed visit by the patient, you receive half of the visit fee, unless the fee is waived for an emergency under the patients' refund rules.
  • If you move or cancel a visit, the patient does not pay.
  • Payouts are made only to a bank account in your own name, after we check your identity.
  • Before payments go through Ionyx, we will tell you the payout schedule and any fees in writing and ask you to agree.

13.4 Ionyx may introduce fees for providers. We will give you at least 30 days written notice and ask you to agree before any fee applies.

13.5 Ionyx does not share in your clinical fees except as set out in a fee schedule you have agreed to and the law allows.

14. Conduct and integrity

14.1 You must not:

  • create patient accounts or book visits on behalf of patients, except to book a patient's next visit from a visit with them
  • ask for, write or arrange ratings for yourself
  • rate yourself
  • record a visit that did not happen
  • change the time, length or details of a visit after it is recorded
  • offer patients money or gifts to book or rate you
  • let anyone else use your account
  • use the platform for anything against the law or your professional rules

14.2 Visit records are permanent and are never edited, only added to. Ionyx may review records to check that visits happened as recorded.

15. Your profile and ratings

15.1 Your profile must be accurate. Your photo must be a clear, recent photo of you. New photos are reviewed before they go live.

15.2 Patients can rate a completed visit within 30 days. Star ratings show to the public once you have 10. Written comments are shown only to you.

15.3 You may use your name, photo and credentials on the platform. You allow Ionyx to show them to patients and to use them to promote the platform. You can ask us to stop using them in promotion at any time.

16. Suspension and ending this agreement

16.1 You may end this agreement at any time with 30 days written notice. You must still complete, cancel or hand over your booked visits and finish your notes.

16.2 Ionyx may end this agreement with 30 days written notice.

16.3 Ionyx may suspend your account or end this agreement at once if your licence lapses, is suspended or has a condition added, if you break this agreement or the standards in a serious way, if patient safety is at risk or if the law requires it.

16.4 When this agreement ends, sections 7, 8, 9, 10, 17 and 20 continue.

17. Liability

17.1 Nothing in this agreement limits either party's liability for death or personal injury caused by its negligence, for fraud or for anything else the law does not allow to be limited.

17.2 Within what the law allows, Ionyx is not liable for your lost income, lost bookings or indirect loss, including loss caused by the platform being unavailable.

17.3 Within what the law allows, Ionyx's total liability to you under this agreement is limited to the greater of B$1,000 and the fees you paid Ionyx in the 12 months before the claim.

18. Changes to this agreement

18.1 Ionyx may change this agreement or the standards. For an important change we will give you at least 30 days notice and ask you to agree again before you continue to take bookings.

18.2 If you do not agree to a change, you may end this agreement under section 16.1.

19. General

19.1 This agreement, the standards and the yearly statements are the whole agreement between us about the platform.

19.2 If a court finds part of this agreement invalid, the rest still applies.

19.3 You may not transfer this agreement. Ionyx may transfer it to a company that takes over the platform, if it tells you.

19.4 Notices to you go to the email address on your account. Notices to Ionyx go to techsupport@ionyxai.com.

20. Governing law

20.1 The laws of The Bahamas govern this agreement.

20.2 The parties will first try to settle any dispute by talking in good faith for 30 days. If that fails, the courts of The Bahamas decide.

21. Signature

By typing your full name and ticking the box, you sign this agreement. You confirm that you have read it, including the provider standards. You also confirm that the information you gave us is true.

We record your typed name, your licence number, the version, the date and time, your device and your internet address. We email you a copy.
